1. Acknowledgment

These are the Terms of Service governing the use of this Service and the agreement that operates between You and Devzey. These Terms of Service set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms of Service. These Terms of Service apply to all visitors, users and others who access or use the Service.

By accessing or using the Service You agree to be bound by these Terms of Service. If You disagree with any part of these Terms of Service then You may not access the Service.

2. Services and Engagement

Devzey offers a range of digital services, including software development, web design, mobile application development, and consulting. The specific scope, deliverables, and timeline for any project will be outlined in a separate Statement of Work (SOW) or project proposal agreed upon by both parties.

4. Refund Policy

Due to the custom nature of our digital services, refunds are generally not provided once work has commenced.

• Initial Deposit: The 30% advance payment is strictly non-refundable as it covers initial resource allocation, research, and planning.
• Cancellations: If you wish to cancel a project, you must effectively terminate the agreement in writing. You will be billed for all work completed up to the date of cancellation.
• Disputes: If you are unsatisfied with our work, please contact us immediately to resolve the issue. We are committed to working with you to reach a satisfactory outcome.

5. Intellectual Property Rights

Unless otherwise stated in a specific contract:

• Client Ownership: Upon full payment of all fees, the Client is granted full ownership of the final deliverables (source code, designs, etc.) for their intended use.
• Devzey Rights: Devzey retains the right to use the project deliverables for portfolio, marketing, and promotional purposes, unless a Non-Disclosure Agreement (NDA) precludes this. We also retain ownership of any pre-existing tools, libraries, or frameworks used in the project.

6. User Obligations

As a user of our Service, you agree not to:

• Use the Service for any unlawful purpose or in violation of any local, state, national, or international law.
• Violate, or encourage others to violate, any right of a third party, including by infringing or misappropriating any third party intellectual property right.
• Interfere with security-related features of the Service.
• Harass, threaten, demean, embarrass, or otherwise harm any other user of the Service.

7. Confidentiality

Both parties agree to keep all confidential information, including business strategies, technical data, and trade secrets, strictly confidential. This obligation survives the termination of any agreement between the parties.

8. Termination

We may terminate or suspend Your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms of Service. Upon termination, Your right to use the Service will cease immediately.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Devzey or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if Devzey or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

10. "AS IS" and "AS AVAILABLE" Disclaimer

The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, Devzey, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

11. Governing Law

The laws of Pakistan, excluding its conflicts of law rules, shall govern this Terms and Your use of the Service. Your use of the Application may also be subject to other local, state, national, or international laws.

12. Changes to These Terms of Service

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.
